The state's energy security ensured. ČEPRO acquires RoBiN OIL s.r.o.

On January 29, 2024, a major acquisition took place involving the purchase of a 100% stake in RoBiN OIL s.r.o. by ČEPRO, a.s.
As a result, the EuroOil network of filling stations, owned and operated by ČEPRO, expanded its fuel sales network by an additional 75 stations. This significantly strengthened the state’s energy security in the fuel market.
Comprehensive legal advisory during the complex acquisition was provided by the law firm CÍSAŘ, ČEŠKA, SMUTNÝ, which contributed to the successful completion of this highly publicized transaction at the end of 2023.
The entire transaction process was managed by an experienced team of legal advisors led by law firm partner Mgr. Milan Kučera and attorney Mgr. Martin Krajčovič, who, as legal counsel to ČEPRO, a.s., provided legal support throughout the entire acquisition process—from conducting legal due diligence and ensuring corporate procedures to preparing and negotiating the transaction documentation. The entire transaction was successfully completed within a relatively short time, despite the need to obtain approval from the Office for the Protection of Competition.

ČEPRO is wholly owned by the Ministry of Finance; public institutions typically do not engage in acquisitions of this scale.

ČEPRO was the third-largest fuel station operator in terms of station count, and it will remain third after acquiring 75 new stations.
The transaction will contribute to the expansion of ČEPRO’s network of filling stations, as well as to the more efficient use of the company’s financial resources in terms of operations, maintenance, and logistics, due to the synergies between the two merging competitors.
The merger will also support the potential for utilizing alternative energy sources in transportation.
